Your Content

Fees

Fees for our Services will be outlined in separate agreements, proposals, or invoices. All fees are quoted in Pound Sterling unless otherwise specified.

Payment

Payment is due within 30 days of invoice date or in advance of service delivery. We accept payment via Stripe or transfer by agreement.

Late Payment

Late payments may be subject to interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend or terminate Services for accounts with overdue balances.

Refunds

Refunds are handled on a case-by-case basis.

Each party agrees to maintain the confidentiality of any proprietary or confidential information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or lawfully obtained from third parties.

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of any content or information provided through the Services.

AI-generated outputs and automated solutions are provided for informational and operational purposes. Results may vary, and we do not guarantee specific outcomes or results from the use of our AI solutions.

To the fullest extent permitted by law, in no event shall Sherlock Intelligence Ltd, its officers, directors, employees, agents, licensors, or service providers be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any damages resulting from your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on the Services
• Any unauthorised access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Services exceed the greater of the total amount paid by you to us in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Sherlock Intelligence Ltd and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit through the Services

Termination by You

Termination by Us

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that you have violated these Terms.

Effect of Termination

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the “Last Updated” date at the top of these Terms and, where appropriate, providing additional notice (such as via email or a prominent notice on our website).

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms.
